TERMS OF SERVICE

Terms of Service

Last updated September 18, 2026.

1. Operator and service

ClearClose HQ is operated by Newman Vault, LLC, a Texas limited liability company. ClearClose HQ is software for tracking wholesale real-estate transactions, buyer contacts, document drafts, activity, and deadlines.

2. No professional or financial services

ClearClose HQ is not a law firm, brokerage, title company, escrow agent, lender, or transaction-funding service. It does not provide legal, tax, brokerage, or real-estate advice, hold transaction funds, or guarantee a transaction outcome. Document drafts are working materials intended for review by qualified Texas counsel before use; they are not approved forms.

3. Your account

You are responsible for the accuracy and lawfulness of information you enter, keeping your password confidential, and activity under your account. Contact us promptly if you believe your account has been compromised.

4. Acceptable use

Do not use ClearClose HQ unlawfully, store information you do not have the right to store, interfere with the service, gain unauthorized access, or misrepresent a software-generated draft as legal approval. We may suspend or terminate accounts that violate these terms.

5. Your data

You retain ownership of transaction, buyer, and document data you enter. Newman Vault, LLC does not claim ownership of that data or sell it. See the Privacy Policy for processing details. The workspace includes a JSON export.

6. Third-party services

ClearClose HQ is hosted on Amazon Web Services and delivered through Cloudflare. Account email is sent through Amazon SES. If configured and expressly used, document-signature activity passes through the user's connected DocuSign account. When paid subscriptions are enabled, new subscription payments are processed by Stripe on behalf of Newman Vault, LLC; Polar previously processed subscription activity. Each provider operates under its own terms and privacy practices.

7. Availability and fees

New paid subscriptions are temporarily unavailable, checkout is disabled, and registration does not collect payment. The configured planned price is $300 per month, but that price is not currently an offer to purchase. Any resumed paid offer will display applicable billing terms before payment.

8. Refunds and cancellations

See Billing, Refunds & Cancellations. No new payment is collected during the current pause. Refund eligibility and cancellation timing for a future paid release are not yet finalized and will be published before checkout is enabled. Disabling new checkout does not itself cancel an existing Polar subscription or stop a scheduled renewal.

9. Service changes and account termination

You may stop using ClearClose HQ and request account deletion. We may change, suspend, or discontinue features and may suspend accounts for violations of these terms. Account deletion and subscription cancellation are separate requests.

10. No warranty; limitation of liability

ClearClose HQ is provided "as is" and "as available." Newman Vault, LLC does not guarantee uninterrupted operation, a transaction outcome, or the legal sufficiency of a draft. To the fullest extent permitted by law, Newman Vault, LLC is not liable for indirect, incidental, special, or consequential damages arising from use of the service. Any limits that cannot lawfully apply remain unaffected.

11. Governing law

These terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
